&lt;p&gt;1. GM’s market share of the US market was once 50%, now it is 20% (same as toyota and honda)&lt;/p&gt;
&lt;p&gt;2. GM has 8 car brands  (toyota has 3 and honda has 2)&lt;/p&gt;
&lt;p&gt;3. GM has 7,000 dealerships (toyota has 1,500 honda around 1,000).&lt;/p&gt;
&lt;p&gt;4. Honda and Toyota pay about the same wages GM does, but due to laws GM has to support all it’s retirees (they currently support more retires than workers) and thousands of workers from the UAW Job Bank Program (which makes them &lt;b&gt;guarantee&lt;/b&gt; almost &lt;b&gt;full benefits and wages&lt;/b&gt; for those who lose their jobs to automation or plant closings)&lt;/p&gt;
&lt;p&gt;So why not cut some brands, close some dealerships and consolidate, that would make sense right? Well that is illegal.  GM is not allowed to close dealerships, which makes cutting some of their brands next to impossible.  If the government grants the bailout that money will end up in the hundreds of hands that are in GM’s pocket and not in the R&amp;D labs where it needs to be.  &lt;/p&gt;
